1. Agreement to Terms

By accessing or using ApusFleet ("Service"), you agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service, including company administrators and drivers using the mobile application.

2. Description of Service

ApusFleet provides a GPS-based fleet tracking platform that allows transport companies to:

Monitor real-time locations of vehicles
View historical route data and trip reports
Communicate with drivers through the platform
Generate reports for operational and client purposes

3. User Accounts

When you create an account, you must provide accurate, complete, and current information. You are responsible for:

Maintaining the confidentiality of your account credentials
All activities that occur under your account
Notifying us immediately of any unauthorized access
Ensuring that driver accounts are used only by authorized personnel

4. Acceptable Use

You agree to use the Service only for lawful purposes. You shall not:

Use the Service for any illegal activity
Track individuals without their knowledge and consent
Attempt to gain unauthorized access to other accounts or systems
Interfere with or disrupt the Service or servers
Reverse engineer, decompile, or attempt to extract source code
Use the Service to harass, abuse, or harm others

5. GPS Data and Location Tracking

By using our Service:

You acknowledge that GPS location data will be collected from driver devices
You confirm that you have obtained proper consent from drivers for location tracking
You agree to comply with all applicable laws regarding employee monitoring and privacy
You understand that GPS accuracy may vary based on device, environmental conditions, and network availability

Important: We do not share GPS location data with third parties. Your tracking data is accessible only to authorized users within your organization.

6. Data Accuracy and Reliability

Disclaimer: While we strive to provide accurate and reliable GPS tracking, we cannot guarantee 100% accuracy or availability of location data at all times. GPS signals may be affected by buildings, weather, satellite coverage, and other factors beyond our control.

The Service is provided for informational and operational purposes. You should not rely solely on GPS data for:

Legal proceedings without corroborating evidence
Safety-critical decisions where lives may be at risk
Precise distance or time calculations for billing purposes

7. Service Availability

We aim to provide 99.9% uptime for our Service. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

Scheduled maintenance (with advance notice when possible)
Emergency repairs or updates
Circumstances beyond our reasonable control

8. Limitation of Liability

To the maximum extent permitted by law:

ApusFleet shall not be liable for any indirect, incidental, special, consequential, or punitive damages
Our total liability shall not exceed the amount you paid for the Service in the 12 months prior to the claim
We are not liable for any loss of data, business interruption, or loss of profits
We are not responsible for the actions of drivers or any third parties

9. Indemnification

You agree to indemnify and hold harmless ApusFleet, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

Your use of the Service
Your violation of these Terms
Your violation of any rights of another party
Any dispute between you and your employees regarding location tracking

10. Intellectual Property

The Service and its original content, features, and functionality are owned by ApusFleet and are protected by international copyright, trademark, and other intellectual property laws.

11. Termination

We may terminate or suspend your account immediately, without prior notice, for:

Breach of these Terms
Conduct that we determine is harmful to other users or the Service
Non-payment of applicable fees

Upon termination, your right to use the Service will cease immediately. You may export your data prior to termination upon request.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last Updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the European Union and the Republic of Latvia, without regard to conflict of law provisions.

14. Dispute Resolution

Any disputes arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If unsuccessful, disputes shall be submitted to the courts of Riga, Latvia.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
